Acknowledgement of Receipt of Service/Proprietary Rights

The Licensee has agreed to use the NAIADS system (NAIADS) to convert non-proprietary monitoring data into a customized predetermined format for Licensee.

By logging in and using and/or accessing the NAIADS system (and/or website NAIADS.ca) Licensee agrees and acknowledges:

1. The NAIADS software and documentation have been developed and/or acquired by DOWN EAST CLEAN WATER INC at great expense; that the NAIADS software and documentation are confidential and that DOWN EAST CLEAN WATER INC has exclusive proprietary and other rights in the NAIADS software and documentation including without limitation patent, copyright, trade mark, service mark, trade secret and trade name rights.
2. No title or ownership of the NAIADS software or documentation is transferred to Licensee.
3. The NAIADS software and documentation and all proprietary rights shall remain the exclusive property of DOWN EAST CLEAN WATER INC.
4. Except for the license to use/access the NAIADS system, Licensee shall have no right or interest in the NAIADS software or documentation.
